1. Introduction

Welcome to EasyDev. These Terms & Conditions (“Terms”) govern your access to and use of the EasyDev website, platform, SaaS products (including the AI Communication Platform and Job Agent Service), and all related professional services. By accessing, browsing, or using any part of our services, you agree to be bound by these Terms.

If you do not accept these Terms, you must not access or use our services. These Terms constitute a legally binding agreement between you (“Client,” “User,” or “you”) and EasyDev (“Company,” “we,” or “us”).

2. Definitions

• “Platform” refers to the EasyDev web application, dashboard, and all SaaS products accessible through your account.
• “Services” refers to web development, SaaS solutions, AI Communication Platform, Job Agent Service, DevOps, maintenance, consulting, and all related digital services provided by EasyDev.
• “Subscription” refers to a paid plan purchased through our platform, subject to the pricing and terms of the selected plan tier.
• “Client Data” refers to any content, information, or materials you upload, submit, or transmit through our platform or provide in connection with our services.
• “Deliverables” refers to the final work product created and delivered to you under a project engagement.

3. Account Registration & Security

To access certain features of our platform, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your login credentials and not share them with unauthorized parties
• Promptly notify us of any unauthorized access or suspected security breach
• Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain false information or are used in violation of these Terms.

4. Services & Project Engagements

EasyDev provides web development, SaaS solutions, backend APIs, AI-powered communication tools, DevOps, maintenance, and related digital services. For each project or subscription engagement:

• Scope, timelines, deliverables, and pricing are defined in the applicable statement of work, proposal, or subscription plan
• We reserve the right to refuse or discontinue any service that violates these Terms or applicable law

Payment milestones (custom project work). Unless a written statement of work says otherwise: 40% deposit to begin work, 30% at the agreed midpoint milestone, 30% on final delivery and handover. Engagements under ₹1,00,000 use a simpler 50% upfront / 50% on delivery split. Retainer and maintenance plans are billed monthly in advance.

Cancellation and refunds (custom project work). This is separate from the Subscription Plans & Billing / Refund Policy sections below, which apply only to the SaaS subscription product.

• A deposit paid before any work has started is refundable in full if you cancel before work begins.
• Once work on a milestone has started, the portion of that milestone's payment corresponding to work already completed is non-refundable; any unearned portion is refunded.
• If EasyDev fails to deliver the agreed milestone scope and the engagement is terminated as a result, the unearned portion of that milestone's payment is refunded.
• You may cancel an in-progress engagement with written notice; you pay for all work completed up to the cancellation date (see §14, Termination), and any deposit for not-yet-started milestones is refunded.

Scope changes. Changes to scope after a milestone has begun are billed at our standard hourly rate (₹1,500/hr, same rate published for hourly/small-fix work) for changes small enough to handle inline, or re-scoped as a new, separately priced and timelined milestone for larger changes. Either way, cost and timeline impact are agreed in writing before the additional work begins.

Delivery guarantee. 30 days of free bug fixes after launch, covering defects in delivered functionality — not new feature requests or scope changes.

5. Client Responsibilities

To ensure successful project delivery, you agree to:

• Provide accurate, complete project requirements, content, and assets in a timely manner
• Designate a point of contact for approvals, feedback, and communications
• Review deliverables and provide feedback within the agreed-upon timeframes
• Ensure all content and materials you provide do not infringe on third-party intellectual property rights
• Comply with all applicable payment schedules and terms
• Maintain backups of any critical data independent of our services

6. Subscription Plans & Billing

Our SaaS products are offered through subscription plans with the following terms:

• Fees are billed according to the selected plan cycle (monthly or annual) and are payable in advance
• All payments are processed securely through Razorpay; we do not store full credit card or banking details
• Subscription fees are non-refundable once the billing period has commenced, unless otherwise stated in a written agreement
• We reserve the right to modify pricing with at least 30 days' notice before the next billing cycle
• Failure to pay may result in suspension of services after a grace period of 7 days

7. Refund Policy

This section covers the SaaS subscription product only. For custom project engagements (web development, integrations, and similar statement-of-work based projects), see the cancellation and refund terms in §4 instead. We want you to be satisfied with your subscription — the following refund terms apply:

• Free Trial Cancellation: If you cancel during a free trial period, you will not be charged. Your access will continue until the trial period ends.
• 7-Day Money-Back Guarantee: For first-time paid subscriptions, you may request a full refund within 7 days of your initial payment if you have not exceeded reasonable usage limits (more than 20% of allocated monthly usage).
• After 7 Days: Subscription fees are non-refundable once the 7-day window has passed. You may cancel at any time, and your access will continue until the end of the current billing period.
• Annual Plans: Annual subscriptions may be refunded on a pro-rata basis within the first 30 days. After 30 days, the remaining term is non-refundable.
• Service Credits: In cases of prolonged downtime or service failure on our part, we may issue service credits at our discretion instead of cash refunds.
• How to Request: Email billing@easydev.in with your account details and reason for the refund request. We will respond within 3 business days.

8. Free Trials

We may offer free trial periods for certain products. During a trial:

• You have access to the features included in the trial plan at no cost
• The trial may be limited in duration, features, or usage capacity
• We may convert your trial to a paid subscription automatically upon expiration, with prior notice
• You may cancel before the trial ends to avoid charges

9. Intellectual Property Rights

Client Deliverables: Upon full payment — the final milestone payment described in §4 — the client receives ownership rights to the final custom deliverables created specifically for the client, unless otherwise agreed in a written contract.

EasyDev IP: EasyDev retains all rights to:

• Pre-existing tools, frameworks, libraries, and code used in delivering services
• The EasyDev brand name, logo, trademarks, and proprietary technology
• General knowledge, skills, and experience gained during the engagement

Portfolio Rights: EasyDev retains the right to showcase completed projects in its portfolio, case studies, and marketing materials unless the client requests otherwise in writing.

Open Source: Any open-source components used in deliverables remain subject to their respective open-source licenses.

10. Confidentiality

Both parties agree to keep all confidential information private and not disclose it to third parties, except:

• When disclosure is required by law, regulation, or court order
• When information is already publicly available through no fault of the receiving party
• When prior written consent is obtained from the disclosing party

Confidential information includes but is not limited to business strategies, proprietary code, financial data, customer lists, and technical specifications.

11. Acceptable Use

You agree not to:

• Use our services for any unlawful, fraudulent, or harmful purpose
• Attempt to gain unauthorized access to our systems, networks, or other users' data
• Transmit malware, viruses, or any malicious code through our platform
• Interfere with or disrupt the integrity or performance of our services
• Scrape, crawl, or use automated tools to extract data from our platform without written permission
• Reverse-engineer, decompile, or disassemble any part of our SaaS products
• Use our AI Communication Platform to send spam, unsolicited messages, or content that violates anti-spam laws

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• EasyDev shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
• Our total aggregate liability for any claim arising out of or related to these Terms or our services shall not exceed the total amount you paid to us in the 12 months preceding the claim
• We are not liable for damages resulting from downtime, data loss, force majeure events, or third-party service failures

13. Indemnification

You agree to indemnify, defend, and hold harmless EasyDev, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, expenses, or demands (including reasonable legal fees) arising from:

• Your use of our services in violation of these Terms
• Your infringement of any third-party intellectual property rights
• Any Client Data you provide that is unlawful, defamatory, or infringing

14. Termination

Either party may terminate a project engagement or subscription with written notice. Upon termination:

• All completed work up to the termination date must be paid for
• You will receive a handover of all deliverables produced up to that point
• We may retain copies of your data as required by law or for legitimate business purposes
• Subscription access will cease at the end of the current billing period or immediately for cause

We reserve the right to suspend or terminate services immediately if you violate these Terms, engage in fraudulent activity, or fail to make payments.

15. Service Level & Support

We strive to maintain high availability for our SaaS products but do not guarantee uninterrupted, error-free operation. Support is provided according to the terms of your subscription plan. We will make reasonable efforts to respond to support requests in a timely manner.

16. Modifications to Services

We reserve the right to modify, update, or discontinue any feature or aspect of our services at any time. We will provide reasonable notice for changes that materially affect the functionality of your subscription.

17. Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to mediation under the rules of the Indian Mediation Act. If mediation is unsuccessful, the dispute shall be subject to the exclusive jurisdiction of the courts of Mumbai, India.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in Mumbai, Maharashtra, India.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms remain in full force and effect. The remaining provisions shall continue to be valid and enforceable.

20. Entire Agreement

These Terms, together with any applicable subscription plan terms, statements of work, and our Privacy Policy, constitute the entire agreement between you and EasyDev regarding your use of our services. They supersede all prior agreements, proposals, and communications, whether oral or written.

21. AI-Generated Content

Our AI Communication Platform and Job Agent Service use third-party AI/LLM providers to draft, classify, and in some cases automatically send communications on your behalf. AI-generated content may be inaccurate, incomplete, or inappropriate in ways that are not always obvious — you are responsible for reviewing AI-generated output before it is sent or relied upon, particularly for anything sent to your own customers or contacts. See our Privacy Policy §13 for which categories of provider may process this content and how it's retained. EasyDev is not liable for consequences arising from AI-generated content you chose not to review before it was sent or acted upon.

22. Changes to These Terms

We may revise these Terms from time to time. Updated versions will be posted on this page with a revised “Last Updated” date. Material changes will be communicated via email or a prominent notice on our website. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
